Terms and Conditions for Trade Account Application

These Terms and Conditions apply to the application and use of a trade account with Bedfolk. By applying for a trade account, you (the "Applicant" or "You") agree to comply with and be bound by the following terms and conditions.

1. Eligibility

To be eligible for a trade account with Bedfolk, the Applicant must be a registered business or professional engaged in one of the following:

·       Interior stockists, stylists, designers, and stagers

·       Travel companies

·       Property developers

·       Beauty and lifestyle blogs

·       Home organisations

·       Holiday rentals

·       Hotels and other accommodation providers

·       Other relevant businesses or professionals who require luxury bedding products for their operations

2. Application Process

The Applicant agrees to complete the trade account application accurately and in full. By submitting the application, the Applicant confirms that all information provided is truthful and correct to the best of their knowledge.

3. Account Approval and Access

Bedfolk reserves the right to approve or deny any trade account application at its sole discretion. The Applicant will be notified in writing whether their application is approved or rejected. Once approved, the Applicant will be granted access to a personalised discount code, which can be applied at checkout to receive the applicable discount.

4. Business Verification

As part of the trade account approval process, and at any time during the relationship, Bedfolk may request further documentation to verify the Applicant's business status. This may include, but is not limited to:

·       Business registration documents (e.g., certificate of incorporation).

·       Proof of business activity (e.g., property management contracts, hotel registration).

·       Proof of business address.

·       Any other relevant business evidence requested by Bedfolk.

Failure to provide the requested documentation may result in the suspension or termination of the trade account.

5. Use of Account

The Applicant agrees to use the trade account solely for business purposes related to their professional activities, including but not limited to providing luxury bedding for interior design projects, holiday lets, hotels, or other accommodation services. The Applicant is not permitted to use the trade account for personal purchases or any unlawful activities.

6. Pricing and Orders

·       The Applicant agrees to place orders according to the terms set out in Bedfolk’s order process.

·       All orders are subject to availability, and Bedfolk reserves the right to limit or refuse orders at its discretion.

7. Payment Terms

The Applicant agrees to comply with the payment terms outlined by Bedfolk, which will be communicated at the time of account approval or on individual invoices. Any outstanding balance beyond the agreed payment terms may result in the suspension of the trade account.

8. Shipping and Delivery

Bedfolk will arrange shipping and delivery of orders to the address provided by the Applicant. Any additional shipping charges, customs duties, and taxes are the responsibility of the Applicant.

9. Confidentiality

The Applicant agrees to keep all pricing, product, and trade-related information confidential and not disclose it to third parties without prior written consent from Bedfolk.

10. Termination of Account

Bedfolk reserves the right to terminate or suspend the Applicant’s trade account at any time if:

·       The Applicant fails to provide requested business documentation.

·       The Applicant fails to comply with these Terms and Conditions.

·       The Applicant engages in any fraudulent, unlawful, or unethical activities.

Upon termination, the Applicant agrees to settle all outstanding balances owed to Bedfolk immediately.

11. Limitation of Liability

Bedfolk shall not be liable for any loss, damage, or expense incurred by the Applicant in relation to the trade account, including any delays or failures in the supply of products, except where such loss is due to Bedfolk’s gross negligence or wilful misconduct.

12. Changes to Terms and Conditions

Bedfolk reserves the right to amend these Terms and Conditions at any time. The Applicant will be notified of any significant changes. Continued use of the trade account after such changes constitutes acceptance of the revised terms.

13. Governing Law

This Agreement is governed by the laws of England, United Kingdom and the parties agree to submit to the exclusive jurisdiction of the courts in England, United Kingdom. By applying for a trade account, the Applicant confirms that they have read, understood, and agree to these Terms and Conditions.
